Digital Products Terms of Use
These Digital Products Terms of Use (“Digital Terms”) govern your access to and use of digital products, downloads, templates, guides, courses, and related materials (collectively, “Digital Products”) made available by Build it Right Fist Time Inc. (“BiRFT,” “we,” “us,” or “our”).
These Digital Terms supplement, and are incorporated into, BiRFT’s main Terms of Use and Privacy Policy available at https://birft.com. In the event of a conflict, these Digital Terms control with respect to Digital Products only.
By purchasing, downloading, accessing, or using any Digital Product, you agree to these Digital Terms.
Nature of Digital Products
BiRFT Digital Products may include informational materials, templates, checklists, frameworks, recommendations, guides, courses, or other content intended for general business, technology, and operational education.
Digital Products:
• Are provided for general informational and educational purposes only
• May contain recommendations, examples, or suggested tools and services
• May include references or links to third-party providers, resources, or platforms
• Are not tailored to your specific business, organization, or circumstances unless explicitly stated
License Grant
Upon purchase or authorized access, BiRFT grants you a limited, non-exclusive, non-transferable, revocable license to:
• Access and use the Digital Product for your personal or internal business use only
• Download and retain copies for reference
You may not:
• Resell, sublicense, distribute, or share the Digital Product (in whole or in part)
• Provide access to third parties, including via shared drives, memberships, or course platforms
• Modify, reproduce, or create derivative works for resale or distribution
• Publicly display, publish, or broadcast the Digital Product without prior written consent
Intellectual Property
All Digital Products are owned by BiRFT or its licensors and are protected by copyright, trademark, and other intellectual property laws.
This includes:
• Written content and materials
• Structure, organization, and methodology
• Graphics, branding, and design elements
• Any included frameworks, templates, or systems
No ownership rights are transferred to you.
Payments and Refunds
All Digital Product purchases are:
• Final and non-refundable, except solely to the extent required by applicable consumer protection law, or at BiRFT’s sole discretion
• Delivered electronically (e.g., download link, portal access, or email delivery)
BiRFT is not responsible for:
• User errors in entering email addresses or accessing files
• Technical limitations of your device or systems
• Loss of access due to failure to save or download materials
No Tailored Advice / No Guarantee of Results
Digital Products are provided for informational, educational and professional guidance purposes only and do not constitute:
• Legal advice
• Financial or investment advice
• Tax advice
• Tailored IT, cybersecurity, or regulatory compliance advice specific to your business, systems, or circumstances
You acknowledge that:
• Information provided may not apply to your specific situation
• Business, technology, and regulatory environments change over time
• You are responsible for evaluating and applying any information
BiRFT makes no guarantees regarding:
• Business outcomes or performance
• Revenue, profitability, or growth
• Suitability of tools, strategies, or recommendations
Third-Party Tools, Links, and Affiliates
Digital Products may reference or link to third-party products, services, or platforms.
• Some links may be affiliate links, meaning BiRFT may receive compensation from purchases
• Recommendations are based on independent research, experience, or general industry practices
BiRFT:
• Does not control or operate third-party services
• Is not responsible for their performance, terms, pricing, or availability
• Disclaims all liability related to your use of third-party providers
Your use of any third-party service is governed by that provider’s own terms and policies.
No Client or Advisory Relationship
Your purchase or use of Digital Products does not create:
• A consulting or advisory relationship
• A managed services engagement
• An ongoing business, legal, or technical relationship
Any such relationship requires a separate written agreement.
User Responsibilites
You agree to:
• Use Digital Products in compliance with applicable laws
• Not misuse, exploit, or improperly distribute the content
• Exercise independent judgment when applying information
• Maintain confidentiality of proprietary materials
Anti-Piracy and Unauthorized Sharing
Unless otherwise stated, a single-entity license is granted to the individual or organization that purchased the Digital Product, for internal use only. License types may vary by product and will be specified within the product or its accompanying documentation.
Strictly prohibited actions include:
• Sharing, distributing, or transferring Digital Products to any third party
• Uploading or sharing Digital Products on public file-sharing platforms, forums, or group memberships accessible to individuals outside the purchasing organization, or sharing with other users within the organization where a per-user license applies
• Selling, licensing, or bundling Digital Products with other services or products
• Circumventing any access controls, paywalls, or security mechanisms
Enforcement and Penalties: BiRFT reserves the right to take any and all enforcement actions, including:
• Immediate termination of access without refund
• Issuance of cease-and-desist demands
• Pursuit of damages, including statutory damages under applicable copyright laws
• Recovery of legal fees and enforcement costs where permitted
• Injunctive relief to prevent further unauthorized distribution
Each unauthorized copy, distribution, or instance of access may constitute a separate violation.
AI and Automated Use Restrictions
You may not use any Digital Product, in whole or in part, for commercial AI training, model development, or automated redistribution purposes without prior written consent from BiRFT. Personal or incidental use of AI productivity tools to read, summarize, or apply purchased content for your own internal business purposes is permitted, provided no content is stored, shared, or used to train, fine-tune, or build AI models or datasets.
Prohibited uses include:
• Uploading or inputting content into AI tools, machine learning models, or automated systems
• Using Digital Products to train, fine-tune, or improve any AI model or dataset
• Creating derivative datasets, embeddings, or structured outputs based on Digital Products
• Using content for scraping, text/data mining, or automated extraction
Any unauthorized AI-related use will be treated as:
• A violation of these Terms
• A breach of intellectual property rights
Disclaimer of Warranties
Digital Products are provided “AS IS” and “AS AVAILABLE.”
BiRFT disclaims all warranties, including:
• Accuracy or completeness beyond what is reasonably current at the time of publication, including as technology, pricing, or market conditions change over time
• Non-infringement
Limitation of Liability
To the maximum extent permitted by law, BiRFT shall not be liable for:
• Indirect, incidental, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Decisions or actions taken based on Digital Products
• Issues arising from third-party services
BiRFT’s total liability shall not exceed the amount you paid for the Digital Product.
Indemnification
You agree to indemnify and hold harmless BiRFT from any claims, damages, or liabilities arising from:
• Your use or misuse of Digital Products
• Your violation of these Digital Terms
• Your business decisions or implementation of any content
Changes to Terms
BiRFT reserves the right, in its sole discretion, to change the Digital Terms under which digital products are offered. The most current version of the Digital Terms will supersede all previous versions. BiRFT encourages you to periodically review the Digital Terms to stay informed of our updates.
Termination
BiRFT reserves the right to revoke your license to Digital Products if you violate these Terms. For non-willful violations, BiRFT will provide written notice and a five (5) day period to cure the violation before termination takes effect. For willful violations — including unauthorized distribution, piracy, or AI training misuse — BiRFT may terminate immediately without notice.
Upon termination, you must:
• Cease all use
• Delete all copies in your possession
Governing Law
These Digital Terms shall be governed by and construed in accordance with the laws of the State of New York without regard to its conflicts of law principles. For any disputes arising under or in connection with the purchase or use of Digital Products, the Parties consent to the jurisdiction of any court of competent jurisdiction in Bronx County, New York, and any Federal court having jurisdiction over Bronx County, New York. The Parties consent to jurisdiction and venue of any of said courts.

Severability
If any provision of these Digital Terms is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms, and the remaining provisions shall continue in full force and effect.
Entire Agreement
These Digital Terms, together with BiRFT’s main Terms of Use and Privacy Policy available at https://birft.com, constitute the entire agreement between you and BiRFT with respect to your access to and use of Digital Products, and supersede all prior and contemporaneous agreements, representations, and understandings, whether written or oral, relating to such subject matter. No marketing materials, email correspondence, verbal representations, or prior course of dealing shall modify or supplement these Terms unless reduced to a signed written amendment by an authorized representative of BiRFT.
